Exclusive Rights Agreement

Introduction

JamirMusic.com and CarolinaBeats.com both represent the same entity and may be used interchangeably.

Below is CONTRACT between You (buyer), and Songwriter/Producer (Jovon J Hodge “Jamir Music”), which by your purchase of any audio, you agree to the Exclusive terms described under TERMS AND CONDITIONS, and therefore are granted these rights as long as all of the 3 (three) requirements listed below are met.

1. Mp3 file of Beat/instrumental(s)
2. This contract sent to your email.
3. WAV file of Beat/Instrumental(s) by download, only after we received back a SIGNED COPY of this CONTRACT.
4. The purchase of Exclusive Rights on any Beat/Instrumental(s), will automatically take it off of  the ‘for sale’ list, and no longer be licensed and/or leased. Except to those who have purchased Non-Exclusive Rights prior to your purchase.
5. Opportunities to be featured in future Compilations/Albums and/or performances held/released by Jovon J Hodge or JamirMusic.com / CarolinaBeats.com
6. Opportunities to win free beats/instrumentals and/or merchandise at the discretion of JamirMusic.com / CarolinaBeats.com

Requirements include:

1. You MUST return a SIGNED COPY of this CONTRACT.
2. Credit must be given to songwriter (Jovon J. Hodge) as stated in this CONTRACT.
3. If you are a minor, under the age of 18, you need to include your parent/guardian’s signature on this CONTRACT.
4. The rights granted to you (buyer) are NON TRANSFERABLE.
5. The Vocal tag is NOT TO BE REMOVED from the track.

Terms and Conditions

Beat/Instrumental(s) purchased with Exclusive Rights:

By Purchasing  the Exclusive rights to use the Beat/Instrumental(s), you gain the right of use for commercial purposes; by means of production on an album, demo, promotional give-aways, video, online sale, personal website, and/or digital download, with no further cost or fee due to Songwriter/Producer (Jovon J Hodge). The Beat/Instrumental(s) purchased under this agreement, may be re-mixed, sampled, performed publicly, and re-recorded with vocal/lyric track(s).

Limitations and Requirements to these rights are the following:

1. You may not re-sell any Beat/Instrumental(s) as is; or as purchased in its original form, which is; without any vocals, lyrics, and/or added production, such as samples, etc.
2. Must be sold only as a completed song.
3. You may not sell the completed song without sending a copy of the song and the complete info of any artist(s) featured on the beat/instrumental(s), to the Songwriter/Producer (Jovon J Hodge), either by email or United States Postal Service.
4. The Vocal tag is NOT TO BE REMOVED from the track.

Limitation of Liability

Neither Jovon J Hodge nor Jamir Music assumes any liability for disruptions or improper operation of its equipment or software for any reason, including, but not limited to, vandalism, theft, phone service outages, Internet disruptions, human error, extreme or severe weather conditions or any other causes in the nature of “Acts of God” or force majeure. Neither Jovon J Hodge nor Jamir Music shall be responsible for consequential damages or punitive or exemplary damages under any circumstances. In no case shall Buyer be entitled to recover damages from Jovon J Hodge or Jamir Music.  Any purchases made regarding any Beat(s)/Instrumental(s) are non-refundable at anytime. No exchanges, no refunds.
